Leasing

We advise on commercial and retail leasing matters for both landlords and tenants. Our clients include office and hotel developers, property managers, and retailers as well as owners of several Manhattan and New Jersey office buildings.  We are expert in negotiating all types of leases (including operating leases), build-to-suit leases, parking garage leases, ground leases, subleases, and related easement agreements for all different types of development transactions.  

Acquisitions/Dispositions/Real Estate Joint Ventures

Over the years, our attorneys have closed purchase and sale transactions representing the exchange of billions of dollars.  Our deal experience ranges from straightforward single asset transactions, complicated portfolio acquisitions, and development projects involving REAs, shared parking agreements, and other similar easements and interlocking agreements.  We are also expert in representing both sides of the real estate joint venture – the financial investor and the operating (non-financial) investor.  This latter aspect of our practice also involves advising clients with respect to structuring the joint venture and negotiating the different (and often conflicting) interests the financial and operating partners have.

Finance, Workouts and Restructuring

Our attorneys represent lenders, borrowers, and financing institutions on all types of financing/refinancing transactions, including mezzanine, construction, and permanent loans and private placements.  This broad range of representation affords our attorneys invaluable insight into how the parties to a financing transaction behave and how current market conditions affect business decisions.  In addition, we pride ourselves on our expertise in representing lenders to, and owners of, troubled assets, and in creatively advising them in connection with complicated loan workouts, modifications, and restructurings.  This specialty is critical in the current economic environment.  We work collaboratively with the real estate leasing and acquisition/disposition attorneys and colleagues in other departments to make sure our clients’ interests are completely represented in each financing transaction.

Condominiums

We represent developers and sponsors in new construction condominiums as well as conversions of tenanted buildings, and also have expertise in converting commercial buildings to condominium regimes on exempt (non-filing) bases.  Our practice also extends to representation of Boards of Managers and Boards of Trustees of condominium projects.
